For the purpose of these Terms and Conditions, the terms “we,” “us,” “our,” refer to VYBE GEAR PRIVATE LIMITED, and the terms “you,” “your,” “user,” or “visitor” refer to any natural or legal person accessing our platform, whether as a designer submitting work for profit or as a buyer purchasing merchandise.

Your access to or use of our website and services constitutes your agreement to be bound by the Terms and Conditions outlined herein. These policies are legally binding and may be updated at any time without notice. You are advised to regularly review these terms.


SECTION A: TERMS FOR DESIGNERS


  1. Scope of Agreement

By entering into this Agreement, designers agree to submit original artwork to the VYBE GEAR PRIVATE LIMITED platform for review, approval, and potential listing on clothing and merchandise. Designers are solely responsible for the originality and legality of their submissions. Once a design is approved, VYBE GEAR PRIVATE LIMITED will handle all aspects of production, listing, fulfilment, marketing, and customer service. Designers will be entitled to receive a fixed share of the percentage from the sale of merchandise that features their design. Designers are not considered employees or contractors and are not entitled to employment benefits of any kind.

  1. Submission and Review of Designs

All submitted artwork must be entirely original, and the Designer must hold full rights to the content. Designs must not include any copyrighted, trademarked, or otherwise protected content belonging to a third party. VYBE GEAR PRIVATE LIMITED reserves the sole and absolute right to review and reject or approve any design without explanation. By submitting any design, you affirm that the content is free of infringement and does not contain malicious code, viruses, or anything that may harm the platform or users. You indemnify VYBE GEAR from any legal liability arising from claims of intellectual property theft or any unlawful content submitted by you.

  1. Profit Distribution and Payment Terms

Designers will receive a fixed 5% profit share on every successful sale of merchandise containing their design. This percentage is subject to review and may be modified at the sole discretion of VYBE GEAR PRIVATE LIMITED with prior notification. Designers will only be credited for a sale after the expiry of the 7-day buyer return window. Sale notifications will be issued post that period. Payouts will be processed on a monthly basis and will be made within 30 days following the close of each calendar month. Payment will be made via a method chosen by the Company. The Designer’s dashboard will display sales data, return history, and earnings for transparency. Designers understand that no guarantee of earnings or sales volume is offered by the Company. Payouts are made to the Designer’s linked bank account or digital wallet once requested and approved, subject to maintaining a minimum balance of ₹200 in the VYBE GEAR wallet.

  1. Ownership and Intellectual Property Rights

Upon submission, designers grant VYBE GEAR PRIVATE LIMITED a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, print, reproduce, distribute, and market the submitted designs for the purpose of commercial sale through our platform. Designers retain ownership of their intellectual property but may not sell or license the same design to any third party once submitted to VYBE GEAR PRIVATE LIMITED. Our platform retains full control over pricing, branding, promotional decisions, and marketing content for the products sold. We reserve the right to remove or take down any design that is deemed unlawful, offensive, plagiarized, or harmful to our brand reputation. We are also entitled to cancel any designer account that violates this agreement or applicable law. Designers must indemnify and hold VYBE GEAR PRIVATE LIMITED harmless for any third-party claims resulting from the submitted work. Licensing and Originality Requirements

To ensure a legally safe environment, you must adhere to the following:

  • You warrant that your submission is 100% your original creation, OR
  • If your design includes any third-party elements (e.g., stock images, fonts, characters, etc.), you must:
    • Submit documented proof of licensing, including:
      • License certificate
      • Proof of purchase (if applicable)
      • Signed permission (if custom elements are used with consent)
    • Clearly tag these assets when uploading, and specify usage rights.

VYBE GEAR reserves the right to reject or remove any design that lacks proof of ownership or appropriate licensing.

  1. Customer Return Policy Impact

Designers will not receive any profit share for returned, refunded, or cancelled items. Our customer return policy allows buyers to return merchandise within 7 days from delivery. During this period, a sale is not considered final, and no earnings will be credited to the designer until the window expires.

  1. Legal and Compliance
  • Designers must comply with all relevant Indian laws and intellectual property rights. Any design that violates Indian or international law, or infringes on third-party rights, may be removed and the designer held liable. VYBE GEAR PRIVATE LIMITED will not be responsible for any legal consequences arising due to the designer’s negligence, infringement, or illegal submissions. The designer must cooperate fully with the Company in the event of a legal investigation or proceeding related to their content. Designers under the age of 18 must provide written parental or legal guardian consent and accept that the parent/guardian will be held fully responsible for any breaches of these Terms and Conditions.
  • VYBE GEAR reserves the right to verify age and identity through appropriate documentation.
  1. Termination of Agreement

Either party may terminate this agreement with 30 days’ written notice. However, any design submitted and uploaded to VYBE GERA PRIVATE LIMITED website, social media platform, or any sale channel prior to termination shall remain the exclusive property of the company. These design will not be removed and may continue to be used, displayed, marketed, or sold on merchandise by VYBE GEAR PRIVATE LIMITED. Upon termination the designer shall have no rights to request removal or claim ownership, royalties, or earning on the continued use of design. Furthermore the designer are strictly prohibited from using, reselling, or distribution the submitted design on any other platform, website, or medium after submission  The Agreement is initially valid for one year from the designer’s onboarding date and may be renewed upon mutual agreement. VYBE GEAR PRIVATE LIMITED may also immediately terminate this agreement in the event of a breach, misconduct, or submission of fraudulent content. Termination will result in the removal of all associated designs and forfeiture of unpaid profits related to any legal or policy breach.

  1. Modification of Terms

VYBE GEAR reserves the full right to amend, change, or update any part of this Agreement at any time, with prior written notice to the Designer via email or the platform. Continued use of the platform after notification of changes shall be considered an acceptance of the new terms.

  1. Inventory Management

Designers grant VYBE GEAR the right to dispose of excess inventory resulting from returns, reprints, fraud, product testing, or promotional use. Designers waive all rights to such inventory and any profits from it.

  1. Transparency & Reporting

The platform offers complete transparency in sales reporting. Designers can view their dashboards for sales figures, earnings breakdown, and inventory activity. All analytics and reports are final and binding unless a discrepancy is reported within 7 days.

  1. Indemnification Clause
  • Designers agree to fully indemnify and hold harmless VYBE GEAR PRIVATE LIMITED, its directors, employees, and representatives from and against any claims, damages, liabilities, legal costs, or disputes arising out of or related to submitted designs or breaches of this Agreement. Any breach by you of these Terms;
  • Any claim that your submitted design infringes, misappropriates, or violates any third-party intellectual property or other rights;
  • Any dispute between you and a third party regarding ownership, originality, or content of a design;
  • Any violation of applicable law resulting from your use of the platform or submission of content;
  • Any misrepresentation or false information provided by you.

VYBE GEAR is not responsible for verifying the originality of every design submitted and shall not be held liable for any infringement resulting from user-submitted content.

  1. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of India, with exclusive jurisdiction resting in the courts located in Lucknow, Uttar Pradesh. In the event of a legal dispute, the parties agree to first seek resolution via mediation before proceeding to litigation.

  1. Entire Agreement

This document constitutes the full and final agreement between the Designer and VYBE GEAR. By submitting a design and registering with our platform, you confirm that you have read, understood, and agreed to all the terms set forth in this agreement. No verbal or other written communications shall override this policy unless agreed upon and signed by both parties.


SECTION B: TERMS FOR BUYERS


Buyers acknowledge that VYBE GEAR operates as a print-on-demand service, and all orders are custom printed after an order is placed. Due to this model, certain terms apply to ensure fair use and limit liability.

  1. No Warranties

The content of this website is subject to change without notice. We make no guarantees regarding the accuracy, completeness, or suitability of the information or designs shown. The buyer acknowledges and accepts that all information is provided “as is.”

  1. Risk & Liability

Your use of any information or products on this website is entirely at your own risk. VYBE GEAR will not be liable for any damages, losses, or claims resulting from your use of our products or services. It is the buyer’s responsibility to ensure that the products meet their expectations before purchase.

  1. Ownership & Intellectual Property

All content, designs, layouts, and graphics on this site are either owned or licensed to VYBE GEAR PRIVATE LIMITED . Unauthorized use or reproduction is prohibited. Any violation may result in legal action and monetary damages.

  1. Order Fulfilment

All items are designer oriented and are produced only after a successful order is placed. Because of this, processing times may vary. Orders cannot be cancelled once they enter production.

  1. Returns and Refunds

We offer a 7-day return policy from the date of delivery. Items must be unused, in original condition, and returned with all tags and packaging. No refunds will be given on customized or damaged products caused by customer negligence. VYBE GEAR reserves the right to refuse any return that does not meet these standards.

  1. Links to Third Parties

Our platform may contain links to external websites. These are provided for informational purposes and do not signify endorsement. We are not responsible for the content or practices of these websites.

  1. Payment Authorization Declines

We are not liable for transaction failures due to declined authorization from the buyer’s card issuer or exceeding the pre-set payment limit. Buyers should ensure sufficient funds and proper authorization for successful purchases.

  1. Disputes

Any disputes related to your order, refund, or interaction with VYBE GEAR shall be resolved under the laws of India and subject to the jurisdiction of Lucknow courts.
